Terms of Service

These Terms of Service ("Terms") govern the relationship between Harmozo ("we", "us", or "our") and the client ("Client", "you", or "your") purchasing digital services, including but not limited to web development, custom features, automation workflows, CRM integrations, maintenance, and hosting.

Scope of Work & Change Control

We are committed to delivering high-quality, focused work on schedule. To prevent project delays and ensure transparency, we manage changes to the project scope as follows:

Fixed Scope: The specific deliverables, requirements, and timelines for each project will be clearly defined in a separate Statement of Work (SOW) or proposal. Any work, features, or design requests not explicitly listed in the SOW are considered out of scope.

Change Requests: If you request changes, additions, or modifications to the project after the SOW is signed, we will evaluate the request. If the change impacts the timeline, technical complexity, or budget, we will present a Change Order detailing the adjusted project fee and updated delivery dates.

Authorization: We will not begin work on any out-of-scope requests until both parties have approved the Change Order in writing (via email or signed amendment).

Intellectual Property (IP) Ownership

You should own what you pay for, but we must protect the underlying tools and frameworks that allow us to build efficiently.

Transfer of Ownership: Upon receipt of final payment in full, Harmozo transfers all intellectual property rights, titles, and interests in the custom code, designs, and digital assets created specifically for you under the active SOW.

Specialized & Pre-existing IP: We retain the rights to our pre-existing libraries, utility scripts, and proprietary frameworks. If we use any of our proprietary code or third-party licensed code in your project, we will notify you in advance.

For any such notified code, you will receive a perpetual, non-exclusive, royalty-free license to run, use, and modify it as part of your completed project, but you cannot package, resell, or distribute it as a standalone product.

Client Cooperation, Delays, & Rescheduling

Fast, high-quality development requires active collaboration.

Your Responsibilities: To meet our agreed-upon milestones, you must provide timely feedback, content, copy, and technical access (such as API keys, hosting credentials, or CRM access) as requested.

Project Pauses & Deadlines: If a project is delayed by more than 10 business days due to missing client input, approvals, or credentials, Harmozo reserves the right to pause the project and reallocate our development resources.

Rescheduling & Queue Placement: If a project is paused under this clause, we cannot guarantee an immediate restart once the inputs are eventually provided. Resuming work is strictly subject to our current project schedule and active team availability. We will provide an updated, realistic timeline once we are ready to restart.

System Access & Interference

To perform our work, the Client grants us necessary administrative access to their systems, hosting, and third-party platforms.

Third-Party Modification: If the Client, their employees, or an unauthorized third party modifies the codebase, server configurations, or automation logic built by Harmozo:

  • Any active project warranties or support agreements regarding those specific systems are immediately void.
  • Any diagnostic or repair work required to investigate or fix issues caused by such interference will be treated as out-of-scope work and billed at our standard hourly rate.

Launch & 30-Day Warranty Period

We stand behind the quality of our development.

Warranty Window: Upon deployment or project handover, a 30-day warranty period begins. During this window, Harmozo will resolve any bugs, errors, or deviations from the agreed-upon SOW at no additional cost.

Post-Warranty Support: Once the 30-day warranty period expires, any further bug fixes, updates, or technical support will be treated as maintenance and billed at our standard hourly rate or covered under an active Maintenance & Monitoring plan.

Hosting & Deployment Options

We offer two flexible paths for hosting and deploying your software or website:

Option A: Harmozo Managed Hosting (Turnkey)

The Setup: We handle the server setup, deployment, monthly billing, monitoring, and regular updates on our infrastructure.

Payment & Suspension: Hosting fees are billed on a recurring basis. If a hosting payment is overdue by more than 14 days, we reserve the right to suspend the hosting services until the balance is cleared.

Upstream Providers: While we ensure high availability and monitor your site, we rely on major upstream cloud providers (e.g., Vercel, AWS, DigitalOcean). Harmozo cannot be held liable for sudden outages or hardware failures caused by these underlying infrastructure providers.

Option B: Client-Managed Hosting (Key Handover)

The Setup: You set up and maintain your own hosting accounts and provide us with the deployment credentials ("the keys").

Your Responsibility: You are entirely responsible for the billing, server maintenance, security configurations, and uptime of your own accounts. If your site goes down due to an expired credit card or a server setting changed on your end, resolving it falls outside of our standard project scope and will be billed at our hourly rate.

Maintenance, Monitoring, & Support Plans

For clients on our monthly support, maintenance, or monitoring plans:

Support & Response Times: We monitor your systems to catch issues before they affect your users. If you report an issue or require support, our maximum response time is 48 business hours. We will always make every effort to respond and resolve critical issues much faster.

Business Hours: Our standard business hours are Monday through Friday, excluding Dutch public holidays.

Cancellation Policy: Monthly retainers, maintenance plans, and managed hosting plans require 30 days’ written notice to cancel. Upon cancellation, we will schedule a clean handover of your code, credentials, and data.

Third-Party Integrations & APIs

Because we connect systems like CRMs, automation platforms, and third-party APIs:

No Liability for Third-Party Failures: Harmozo is not responsible for any service interruptions, API changes, downtime, data loss, or sudden pricing changes caused by third-party platforms.

Maintenance of Integrations: While we build integrations to be highly resilient and include robust error handling, future updates or breaking changes made by those third-party platforms are outside our control and are not covered under initial project warranties.

Limitation of Liability

To the maximum extent permitted by applicable law, Harmozo’s total liability for any claims, losses, or damages arising out of this agreement—whether in contract, tort, or otherwise—shall not exceed the total amount actually paid by the Client to Harmozo for the specific project or service period in question.

Governing Law & Jurisdiction

This agreement and any disputes arising from it shall be governed by and construed in accordance with the laws of the Netherlands. Any legal disputes shall be submitted exclusively to the competent court in the district where Harmozo is registered.
